Who we are
OsmicPeople is provided by OsmicSoft Ltd ("OsmicSoft", "we"). These terms govern your use of the OsmicPeople website and the OsmicPeople service (the "Service"). By creating an account you agree to them on behalf of the company you represent (the "Customer").
Your account and workspace
You must provide accurate details and keep your sign-in credentials confidential. You are responsible for everyone you invite into your workspace and for the accuracy of the data you enter. Workspace addresses (subdomains) are allocated on a first-come basis and must not infringe third-party rights or impersonate others.
Subscription and payment
The Service is priced per billable employee each month, plus any add-ons you choose (each at the fixed monthly price shown when you add it), as shown on the pricing page at the time of purchase. Billable employees are everyone with an employee record who works for the Customer, whatever their status — including people who have been invited and leavers until their exit date — and anyone who can still sign in to the workspace, except the account owner, who is not billed. Increases during a billing period are charged pro rata from the day they happen, based on the highest number of billable employees in the period; decreases take effect without a credit. Add-ons may be offered with a free trial of a few days, once per add-on; unless you remove the add-on before the trial ends, it is then charged at the price shown when the trial started. Prices depend on the country the Customer is based in when it subscribes; where no local prices are offered, the international prices apply. Fees are billed monthly in advance through Stripe. You may cancel at any time; the Service remains available until the end of the paid period. Fees are non-refundable except where the law requires otherwise. Attempting to avoid charges (for example by switching people off while they keep using the workspace) is a breach of these terms.
Acceptable use
You must follow the Acceptable Use Policy. We may suspend a workspace that breaches it, that has an unpaid invoice after reasonable notice, or where required by law.
Your data
Data you and your users enter remains yours. We process it only to provide the Service, as described in the Privacy Policy and in a data processing agreement available on request. You can export your data from the Service at any time.
Payroll calculations
OsmicPeople calculates payroll figures from the data you enter and the tax rules published by HMRC for the supported tax years. You remain responsible for checking payslips, filing returns and paying your employees and HMRC. OsmicPeople is not a payment processor or a registered payroll bureau.
Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted access. Support is provided by email during UK working hours.
Liability
To the extent permitted by law, our total liability arising out of the Service in any twelve-month period is limited to the fees you paid in that period. We are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
Changes
We may update these terms; material changes will be notified to the workspace owner at least 30 days before they take effect. Continued use after that date constitutes acceptance.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
